WHAT IS JDG (SOLE PROPRIETORSHIP)

A sole proprietorship (JDG) is the most popular form of doing business in Poland, especially for people planning to run their own business independently. Registering a JDG is relatively straightforward but involves several formalities that can be challenging, particularly for those who are not familiar with legal regulations.


WHO CAN CARRY OUT BUSINESS ACTIVITY IN POLAND?

Citizens of European Union member states and the European Economic Area who wish to conduct business in Poland may:

  • set up their own sole proprietorship or any commercial company
  • provide cross-border services – without registering a business in Poland
  • establish a branch or representative office in Poland.

Citizens of the USA and the Swiss Confederation can also establish their own company, any commercial company, a branch or a representative office in Poland.

Citizens of countries that are not members of the European Union may:

  • set up a sole proprietorship or any commercial company in Poland if they hold a residence permit that authorizes this,
  • establish in Poland a limited partnership, a limited joint-stock partnership, a limited liability company, a simple joint-stock company and a joint-stock company,
  • become a partner in a limited partnership, limited joint-stock partnership, limited liability company, simple joint-stock company and joint-stock company, and acquire or subscribe for shares or stock in those companies,
  • establish a branch of a foreign entrepreneur in Poland, provided that ratified international agreements signed with Poland do not exclude this possibility.

WHAT STEPS ARE REQUIRED TO SET UP A JDG?

  1. Choosing the business form – Select the appropriate business activity, taking into account your needs and preferences.
  2. Company registration – Complete the CEIDG form (Central Registration and Information on Economic Activity) and register with the Tax Office, ZUS and other institutions.
  3. Obtaining a NIP – Every company must have a tax identification number (NIP).
  4. Choosing a tax scheme – Decide how your activity will be taxed. You can choose a flat-rate tax (linear tax), lump-sum (ryczałt), or general rules.
  5. Registration with ZUS – Registration with the Social Insurance Institution (ZUS) is mandatory if you employ workers or intend to pay social insurance contributions.
  6. Choosing a bank account – Although having a business bank account is not mandatory, it is very helpful for the day-to-day running of the business.

WHAT DOCUMENTS ARE REQUIRED TO SET UP A JDG?

To set up a sole proprietorship, you will need the following documents:

  • Phone number and email address.
  • ID card or passport.
  • NIP (if you already have one).
  • Correspondence address (in Poland).

COSTS ASSOCIATED WITH ESTABLISHING A JDG

The cost of registering a sole proprietorship in Poland is relatively low, and the registration itself is free if you complete it online. However, it is worth bearing in mind other costs, such as:

  • Fee for the advisory and registration services we provide.
